4 |
MEMBERSHIP |
|
| |
4.1 |
Membership of the Society shall consist of: |
|
| |
|
|
| |
|
(a) |
a Founder Member which shall be the AUPE Multi-purpose Co-operative Society Ltd; and |
|
| |
|
|
| |
|
(b) |
Ordinary Members who hold a minimum of 100 shares at $1 per share; |
|
| |
|
|
| |
|
(c) |
Institutional Members which shall be trade unions, and co-operative societies subject to the approval of the Board of Directors; |
|
| |
|
|
| |
4.2 |
(a) |
Application for membership shall be submitted on a form prescribed by the Board of Directors. |
|
| |
|
|
| |
|
(b) |
The cost of the minimum number of such shares as prescribed in By-Laws 5.2 shall be regarded as the respective membership fees of the Founder Member and the Institutional Members respectively. |
|
| |
|
|
| |
|
(c) |
The Board of Directors shall have power to approve or reject an application without assigning any reason for its decision. |
|
| |
|
|
| |
4.3 |
The admission or rejection of any application after it has been approved shall be notified to such applicant without delay. Each member shall make full payment in respect of the minimum shares specified in By-Law 5.2 on or before becoming a member. |

| |
|
|
| |
4.4 |
No member shall exercise the rights of membership or be deemed to have acquired any duties or liabilities as a member of the Society as laid down in these By-Laws, unless it has made full payment to the Society in respect of the qualifying shares as prescribed in these By-laws. |
|
| |
|
|
| |
4.5 |
Every member shall, unless otherwise disqualified under the Act or these By-Laws, have the right to: |
|
| |
|
|
| |
|
(a) |
avail itself of services of the Society; |
|
| |
|
|
| |
|
(b) |
nominate candidates for election or co-option to office, subject to the provisions of the Act and these By-Laws; |
|
| |
|
|
| |
|
(c) |
be represented by delegates; |
|
| |
|
|
| |
|
(d) |
participate and vote at general meetings through its delegates; and |
|
| |
|
|
| |
|
(e) |
enjoy all other rights, privileges or benefits under these By-Laws. |

| |
|
|
| |
4.6 |
Every member shall be supplied with a copy of these By-Laws free of charge. |
|
| |
|
|
| |
4.7 |
Every member shall undertake: |
|
| |
|
(a) |
to keep the Secretary informed of any change in its address. All notices posted or sent to its last known address shall be deemed to have been duly served; |
|
| |
|
|
| |
|
(b) |
to notify the Society of any change in its address or other particulars of its delegates; |
|
| |
|
|
| |
|
(c) |
to abide by all regulations made under these By-laws and directives issued by the officers of the Society or the Board of Directors; and |
|
| |
|
|
| |
|
(d) |
to fulfill all its obligations to the Society. |

| |
|
|
| |
4.8 |
Membership shall cease: |
|
| |
|
|
| |
|
(a) |
by expulsion in the manner provided for in By-Laws 4.10 to 4.12; |
|
| |
|
|
| |
|
(b) |
upon the dissolution or deregistration of the Founder Member or an Institutional Member; |
|
| |
|
|
| |
|
(c) |
upon disaffiliation as an affiliate or associate affiliate of the Founder Member, unless otherwise allowed by the Founder Member; or |
|
| |
|
|
| |
|
(d) |
by resignation from the Society provided that the member has held its shares for at least one year and the prior approval of the Board of Directors has been obtained therefor. |
|
| |
|
|
| |
4.9 |
Cessation of membership shall take effect from the date of occurrence of any of the events stated in By-Law 4.8 or the decision of the Board of Directors, whichever is the earlier provided that the Society shall not be precluded from recovering any sum of money whatsoever owing by the member to the Society. |

| |
|
|
| |
4.10 |
The Board of Directors may expel a member: |
|
| |
|
|
| |
|
(a) |
for any breach of the Act, its Rules or these By-laws or the regulations made thereunder or any resolution of a General Meeting or any decision of the Board of Directors; |
|
| |
|
|
| |
|
(b) |
for any act which may weaken the credit of or which may be detrimental to the good name and interest of the Society; |
|
| |
|
|
| |
|
(c) |
for any default in payment of dues to the Society; or |
|
| |
|
|
| |
|
(d) |
for participating in or associating with any activity that competes with any operation or is incompatible with any object of the Society or is inconsistent with the need for solidarity among the members of the Society as a basis of co-operation; Provided that the member shall be given a reasonable opportunity to show cause as to why it should not be expelled as a member of the Society. |

4.11 |
If the offending conduct, act or omission is attributable to a person who is connected in any manner to a member, it shall be deemed to have been authorised or sanctioned by the member unless the member categorically severs his connection with that person. |
|
| |
|
|
| |
4.12 |
An expelled member may appeal in writing to the General Meeting within one month of being expelled as a member thereof. The decision of the General Meeting shall be final. |
|
| |
|
|
| |
4.13 |
An expelled member shall not be entitled to any dividend in the year in which his expulsion took place. |
|
| |
|
|
| |
4.14 |
Notwithstanding By-Law 4.10, the Board of Directors may in lieu of expulsion impose a fine on a member provided that: |
|
| |
|
|
| |
|
(i) |
a written notice of the intention to impose such fine and the reason therefor has been served on it; |
|
| |
|
|
| |
|
(ii) |
it has been given a reasonable opportunity to show cause as to why it should not be so fined; and |
|
| |
|
|
| |
|
(iii) |
any fine exceeding fifty dollars shall have the prior written approval of the Registrar. |
