AUPE GENERAL SERVICES CO-OPERATIVE LTD

  3 OBJECTS  
  3.1 The objects of the Society shall be:  
     
    (a) (i)
to promote and popularise the practice of co-operative ventures such as home renovation, food and beverages service, printing, property and machinery leases and such other services which the Board of Directors may from time to time operate with quality standard and at competitive prices;
 
     
    (ii) to promote the economic interest of its members;  
     
    (iii)
to encourage thrift, co-operation, self-help and mutual assistance among its members; and
 
     
    (iv)
to undertake any other business or venture which is incidental or conducive to any of the objects of the Society.
 
     
  3.2
In furtherance of the objects, the Society shall be at liberty to do all or any of the following PROVIDED ALWAYS that nothing herein contained shall be taken to authorise or permit the Society to do or omit doing anything which may be in breach or contravention of any written law, statutory provision, regulation or rule:
 
     
    (i)
to establish a home-designing and renovation entity and assist ordinary members to renovate their homes at reasonable cost and high quality works through altering, pulling down, decorating, maintaining, furnishing, fitting, improving by planting, paving, draining, and by advancing money to and entering into contracts and arrangements of all kinds with builders and others to complete the renovation works;
 
     
    (ii)
to acquire by purchase, lease, exchange, hire or otherwise, or with a view to resale or otherwise, lands and property of any tenure or any interest in the same, in the Republic of Singapore ;
 
     
    (iii)
to carry on any business whether general services or otherwise which may seem to the Society capable of being conveniently carried on in connection with any business which the Society is authorised to carry on or calculated directly or indirectly to enhance the value of or render profitable any of the Society's property or rights;
 
     
    (iv)
to carry on in connection with the above such other businesses as may be conveniently or profitably carried on therewith or may usefully employ or turn to account or enhance the value of or render profitable any of the Society's property or rights;
 
     
    (v)
to acquire and undertake the whole or any part of the business, goodwill and assets of any person, firm or company carrying on or proposing to carry on any of the businesses which this Society is authorised to carry on and as part of the consideration for such acquisition to undertake all or any part of the liabilities of such person, firm, company to acquire an interest in, amalgamate with or enter into any arrangements for sharing profits or for co-operation or for limiting competition or for mutual assistance with any such person, firm or company and to give or accept by way of consideration for any of the acts or things aforesaid or for any property acquired, any shares, and retain or sell, mortgage and deal with any shares, debentures or securities so received;
 
     
    (vi)
to act as agents or brokers and subject to compliance with any restrictions imposed by law as trustees for any person, firm or company and also to act in any of the businesses of the Society through or by means of agents, brokers, sub-contractors, or others;
 
     
    (vii)
to accept, receive and acquire funds, stocks and other property by way of donations, bequests, devises, loans or other means and to use, hold, invest, reinvest, pledge, sell, transfer, lend or otherwise dispose of the same, subject to the Registrar's approval regarding the investment of the Society's funds and subject to the limit on the Society's borrowing as notified from time to time to the Registrar and to fix, charge, levy and collect such fees and other payments for the use of the Society's facilities as shall be commensurate with the Society's objectives;
 
     
    (viii)
to lend and advance money or give credit to members to guarantee and give guarantees or indemnities for the payment of money or the performance of contracts or obligations by any person; to secure or undertake in any way the repayment of money lent or advanced to or the liabilities incurred by any person and otherwise to assist any person;
 
     
    (ix)
to take or hold mortgages, liens and charges to secure payment of the purchase price, or any unpaid balance of the purchase price, or any part of the Society's property of whatsoever kind sold by the Society, or any money due to the Society from purchasers and others;
 
     
    (x)
to borrow from approved financial institutions or other financial agencies, registered societies, members and others and to secure the payment of money or the repayment of any debt, liability, contract, guarantee or other engagement incurred or to be entered into by the society, on such terms and conditions as the Board of Directors may deem fit, subject to Section 68 of the Act;
 
     
    (xi)
to draw, make, accept, endorse, discount, execute and issue promissory notes, bills of exchange, bills of lading, and other negotiable or transferable instruments;
 
     
    (xii)
to enter into business and financial arrangements of any kind including joint-venture, franchising, licensing agency and employment agreements, for the provision of any goods and/or services associated directly or indirectly or in any way connected with or ancillary to the business of this Society with any organisation or person;
 
     
    (xiii)
to amalgamate or enter into partnership or into any arrangement for sharing of profits, union of interest, co-operation, joint-venture, reciprocal concession, or otherwise with any person, company or organisation carrying on or engaged in or about to carry on or engage in any business or transaction which the Society is authorised to carry on or engage in, or any business or transaction capable of being conducted so as to directly or indirectly benefit the Society;
 
     
    (xiv)
to enter into any arrangements with any government department or statutory body or any authority that may seem conducive to the Society's objects, or any of them; and to obtain from such government or authority any rights, privileges, and concessions which the Society may think is desirable to obtain; and to carry out, exercise and comply with any such arrangements, rights, privileges and concessions;
 
     
    (xv)
to appoint authorised franchisees, licensees, agents and independent contractors to use the names, logos, marks and or facilities of the Society pursuant to any business arrangements entered into by the Society under the provisions of this By-Law;
 
     
    (xvi)
to apply for, purchase or otherwise acquire any patents, patent rights, copyrights, trade marks, formulae, licences, concessions and the like, conferring any exclusive or non-exclusive or limited right to use, or any secret or other information as to any invention which may seem capable of being used for any of the purposes of the society, or the acquisition of which may seem calculated directly or indirectly to benefit the society; and to use, exercise, develop or grant licences in respect of or otherwise turn to account, the property, rights or information so acquired;
 
     
    (xvii)
to promote any other co-operative society or co-operative societies or company or companies for the purpose of acquiring or taking over all or any of the property, rights and liabilities of the society or for any other purpose which may seem directly or indirectly calculated to benefit the society;
 
     
    (xviii)
to adopt such means of making known and advertising the business and products of the society as may seem expedient;
 
     
    (xix)
to apply for, secure, acquire by grant, legislative enactment, assignment, transfer, purchase or otherwise, and to exercise, carry out and enjoy any charter, licence, power, authority franchise, concession, right or privilege which any Government or authority or any corporation or other public body may be empowered to grant; and to pay for, aid in and contribute towards carrying the same into effect; and to appropriate any the society's assets and defray the necessary costs, charges and expenses thereof;
 
     
    (xx)
to adapt, alter, vary, cancel, replace and enforce any or all of these By-Laws of the Society for the requirements of the Society and to make, adapt, alter, vary, cancel, replace and enforce schemes, rules, regulation and by-laws for the carrying on of the business operations and subsidiary undertakings of the Society with the print approval of the Registrar ; or
 
     
    (xxi)
to do all such things as are necessary, incidental or conducine to the attainment of the objects of the Society.
